Leland Vandiver provides corporate productivity mentoring, operational workflow audits, and time-management systems for medium-sized enterprises. Our services include physical office layout analysis, employee scheduling system design, administrative bottleneck elimination, and implementation of physical records-management frameworks. All services are delivered on a per-engagement basis as outlined in the applicable service agreement.
You agree to provide accurate and complete information necessary for the performance of our services. You are responsible for maintaining the confidentiality of any account credentials provided and for all activities that occur under your account. You must not use our services for any unlawful purpose or in violation of any applicable laws or regulations.
All materials, methodologies, frameworks, and deliverables provided by Leland Vandiver, including but not limited to audit reports, scheduling templates, and process documentation, are the intellectual property of Leland Vandiver unless otherwise agreed in writing. You may use these materials solely for your internal business purposes and may not distribute, reproduce, or modify them without prior written consent.
To the maximum extent permitted by law, Leland Vandiver shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with the use of our services. Our total liability for any claim arising from these terms or our services shall not exceed the amount paid by you for the specific service giving rise to the claim.
Either party may terminate a service engagement in accordance with the terms specified in the applicable service agreement. Upon termination, you must return or destroy any confidential materials provided by Leland Vandiver. Sections 3, 4, and 6 of these terms shall survive termination.
We reserve the right to modify these terms at any time. Changes will be effective upon posting to this page. Your continued use of our services after any changes constitutes acceptance of the new terms. We will notify you of material changes via email or a notice on our website.
These terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved exclusively in the courts of Delaware.
